Subscriber Agreement
and Terms of Service

This Subscriber Agreement ("Agreement") is entered into between Boudoir Automations, operated by Moonlight and Lace Boudoir LLC, Waynesboro, Pennsylvania ("Company," "we," "us," or "our") and the individual or business entity identified above ("Subscriber," "you," or "your") as of the date of electronic signature below.

By signing this Agreement and proceeding to payment, you acknowledge that you have read, understood, and agree to be bound by all terms set forth herein.

My Boudoir Portal is a subscription-based software platform providing client experience tools for photography studios. Complete Access includes the platform's current member features in one monthly membership.

Your monthly rate is identified at the top of this Agreement and remains locked while your subscription remains continuously active. Subscriptions are billed monthly beginning on day 15 of your 14-day free trial period. The trial begins on the date your account is created. Your card on file will be charged automatically on day 15 unless you cancel before that date.

ALL SALES ARE FINAL. WE DO NOT ISSUE REFUNDS UNDER ANY CIRCUMSTANCES. This includes but is not limited to: dissatisfaction with the platform, failure to cancel before the trial period ends, accidental renewal, changes in your business circumstances, technical difficulties on your end, failure to use the service, or account termination for violation of these terms.

If you cancel your subscription before day 14 of your trial, you will not be charged. If you cancel after day 15, your access continues until the end of your current billing period. No prorated refunds will be issued for unused time. Cancellation does not entitle you to any refund of amounts already charged.

By signing this Agreement, you expressly acknowledge and agree that you have read and understood this no-refund policy.

You may use My Boudoir Portal solely for legitimate boudoir photography studio operations. You are solely responsible for all content uploaded to your connected cloud storage, all client data entered into the platform, and all interactions between your studio and your clients conducted through the platform.

You agree not to: share your account credentials with other unaffiliated studio owners; use the platform to store or distribute illegal, harmful, or exploitative content of any kind; attempt to reverse-engineer, copy, resell, or redistribute any portion of the platform; use the platform in any way that violates applicable local, state, federal, or international laws.

Your client images are stored in a cloud storage account that you own, create, and control independently. My Boudoir Portal does not have access to your client image files, does not store client images on our servers, and does not transmit client images through our infrastructure at any point.

You are solely responsible for obtaining all necessary consents, model releases, and permissions from your clients before uploading their images or personal data to your connected storage account. You represent and warrant that you have the legal right to upload and use all content placed in your connected storage account.

My Boudoir Portal is not responsible for any privacy violations, data breaches, or legal claims arising from your handling of client data, your failure to obtain proper releases, or the content of your connected storage account.

When you use ordering functionality, you are solely responsible for creating, maintaining, and enforcing any ordering contracts with your clients. My Boudoir Portal provides the technical mechanism for your clients to read and acknowledge a contract during the ordering process, but we do not provide legal advice, draft contracts, or guarantee the enforceability of any agreement between you and your clients.

You agree that My Boudoir Portal bears no liability for disputes between you and your clients regarding ordering, pricing, product fulfillment, or any contract terms you establish.

My Boudoir Portal is designed to operate as a white-labeled platform under your studio brand. While we take reasonable steps to keep our platform branding invisible to your clients, we do not guarantee that our name, subdomain structure, or platform identity will never be discoverable by a technically sophisticated user. You may not represent to clients that you have built or own the underlying platform software.

MY BOUDOIR PORTAL IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF CLIENTS, LOSS OF BUSINESS, LOSS OF DATA, OR ANY OTHER COMMERCIAL LOSS, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall the Company's total liability to you for any claim arising out of or relating to this Agreement or the platform exceed the total amount you paid to the Company in the thirty (30) days preceding the claim.

The Company reserves the right to suspend or terminate your account immediately, without prior notice or refund, for violation of these terms, for conduct harmful to the platform or other users, for fraudulent activity, or for any other reason at our sole discretion. Termination of your account does not entitle you to any refund.

The Company reserves the right to modify these terms at any time. Material changes will be communicated via email to the address on your account. Continued use of the platform after updated terms are posted constitutes your acceptance of the updated terms.

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions. Any dispute arising under or relating to this Agreement shall first be submitted to non-binding mediation. If mediation is unsuccessful, disputes shall be resolved through binding arbitration conducted in Franklin County, Pennsylvania, in accordance with the rules of the American Arbitration Association.

This Agreement, together with the Privacy Policy available at myboudoirportal.com/privacy.html and the Terms of Service available at myboudoirportal.com/terms.html, constitutes the entire agreement between you and the Company with respect to the platform and supersedes all prior agreements, representations, or understandings.

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.
